3. Review restricted materials
After approval, Embala may provide access to protected documents, decks, data rooms, models or prototype systems.

EARLY REVIEWER NON-DISCLOSURE AGREEMENT
This Non-Disclosure Agreement (“Agreement”) is entered into on between Embala Corporation (“Disclosing Party”) and (“Recipient”).

1. Purpose
Embala Corporation is developing proprietary concepts, methodologies, branding, website content, business models, visual materials, software concepts, and related intellectual property. Recipient is granted access solely for review, testing, evaluation, and feedback.
2. Confidential Information
Confidential Information includes, but is not limited to, Embala Corporation business plans, Embala CITED™, SB-STRAP™, CITED Balance™, strategic documents, website content and designs, visual graphics and diagrams, investor materials, presentations, brochures, financial models, software concepts, dashboards, analytical systems, and unpublished materials.
3. Recipient Obligations
Recipient agrees to maintain all Confidential Information in strict confidence, not disclose Confidential Information to any third party without prior written consent, not copy or distribute materials except as reasonably necessary to provide feedback, and use the information solely for evaluation and feedback purposes.
4. Intellectual Property
All Confidential Information remains the exclusive property of Embala Corporation. Nothing in this Agreement grants Recipient ownership rights, license rights, intellectual property rights, or commercial rights relating to the Confidential Information.
5. Exclusions
This Agreement does not apply to information that becomes publicly available through no fault of Recipient, was lawfully known before disclosure, is independently developed without use of Confidential Information, or is lawfully obtained from another source without confidentiality restrictions.
6. Term
This Agreement remains in effect for three (3) years from the date of signing. Confidentiality obligations shall survive termination of this Agreement.
7. Return or Deletion of Materials
Upon request by Embala Corporation, Recipient shall return, destroy, or permanently delete all confidential materials received.
8. No Partnership
Nothing in this Agreement creates a partnership, joint venture, employment relationship, or other business relationship between the parties.
9. Governing Law
This Agreement shall be governed by the laws of the State of .
10. Entire Agreement
This Agreement constitutes the entire understanding between the parties regarding confidentiality.
